ProQyz Terms and Conditions
Effective March 21, 2023
These Terms and Conditions, together with any applicable order forms, invoices, service descriptions, policies, and attachments referencing these Terms and Conditions (collectively, the “Agreement”), form a legally binding agreement between you (“you”, “your”, or “Customer”) and SpaceTree Technologies, including its brands and products such as ProQyz (“ProQyz”, “we”, “us”, or “our”).
This Agreement governs your access to and use of our software, plugins, AI tools, services, documentation, and websites (collectively, the “Services”).
IMPORTANT NOTICE
PLEASE READ THESE TERMS CAREFULLY.
Your access to or use of the ProQyz platform, plugins, websites, and services is conditioned upon your acceptance of this Agreement.
By accessing or using our Services or visiting our website, you agree to be bound by these Terms and all applicable policies referenced herein.
If you do not agree with any part of these Terms, you must not access or use the Services.
1. SERVICES – LICENSE AND SUPPORT
Subject to the terms of this Agreement and your payment of applicable fees, ProQyz grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the ProQyz software, plugins, and related services.
This license allows you to:
- Install and use the ProQyz plugin on permitted domains
- Use ProQyz features for educational or commercial purposes
- Access documentation, updates, and support during your active license term
The specific scope of use (including number of sites, license tiers, or additional services) will be determined by the Order, subscription plan, or invoice associated with your purchase.
ProQyz reserves the right to refuse service to anyone at its sole discretion, without prior notice.
2. OWNERSHIP AND INTELLECTUAL PROPERTY
All software, code, designs, documentation, AI models, branding, and materials provided through the Services are the exclusive property of SpaceTree Technologies Pvt. Ltd. or its licensors.
Your purchase grants you a license to use the software, not ownership of the software.
You may not:
- Resell the software without authorization
- Claim ownership of ProQyz code or systems
- Copy or distribute proprietary components
- Remove copyright or branding notices
Certain components may be distributed under the GNU General Public License (GPL) or other open-source licenses where applicable.
3. ACCOUNT REGISTRATION
To access certain features of the Services, you may be required to create an account.
You agree that:
- All information provided during registration is accurate
- You will maintain the security of your account credentials
- You are responsible for all activities conducted under your account
ProQyz is not responsible for unauthorized access resulting from your failure to protect account credentials.
4. SUPPORT AND UPDATES
During your active license term, you may receive:
- Software updates
- Security patches
- Feature improvements
- Customer support
Support is provided only to the registered license holder and may be delivered via:
- Support ticket system
- Documentation
- Video tutorials
- Knowledge base
Support does not include:
- Custom development
- Website design
- Third-party plugin troubleshooting
- Hosting configuration
5. THIRD-PARTY PRODUCTS AND SERVICES
ProQyz may integrate with or rely on third-party services including but not limited to:
- WordPress
- Payment gateways
- AI services
- Hosting providers
- APIs
These services are not controlled by ProQyz, and we are not responsible for:
- Service interruptions
- Pricing changes
- API limitations
- Security issues related to third-party services
ProQyz may include integrations or compatibility with third-party products such as LearnDash, BuddyBoss, marketing add-ons, or other external plugins and services (“Third-Party Products”).
Where such Third-Party Products are provided as part of a ProQyz package, license keys and support for those products are provided solely by ProQyz and not directly by the original plugin developers.
Customers are free to access and use the official documentation of the respective third-party products for learning and reference purposes. However, customers may not request support, license activation, or direct services from the original plugin providers using the licenses supplied through ProQyz.
All support requests related to Third-Party Products included in a ProQyz package must be submitted through the ProQyz support system.
ProQyz is not responsible for any changes, feature updates, or policy modifications made by the developers of Third-Party Products.
6. FEES AND PAYMENT TERMS
You agree to pay all fees associated with your subscription or order.
Payments may include:
- License fees
- Subscription fees
- Setup fees
- Add-on purchases
Unless otherwise stated:
- Payments are charged in advance
- Fees are non-refundable except as stated in our refund policy
Failure to pay fees may result in:
- Suspension of services
- Termination of license
- Loss of support access
UPGRADES
Customers may upgrade their ProQyz license under the following conditions:
- Eligible Upgrades:
- Annual License → Lifetime License
- Starter Lifetime → Growth Lifetime (or higher plan)
- Within 60 Days of Purchase:
Customers may upgrade by paying only the price difference between the current plan and the upgraded plan. - After 60 Days of Purchase:
Upgrades will require payment of the price difference plus the value of credits already used or benefits consumed, if applicable.
All upgrades must be requested through the ProQyz support team, and the upgrade will be processed after verification of the original purchase and eligibility. ProQyz reserves the right to modify upgrade pricing or policies at its discretion.
7. REFUND POLICY
ProQyz offers a 14 days refund policy for certain products as described on our website.
To request a refund:
- You must contact our support team before the refund deadline
- Refunds are processed in the original payment currency
Refunds will not cover:
- Transaction fees
- Currency conversion charges
- Third-party service costs
Unless otherwise stated, all purchases are final and non-refundable.
8. ACCEPTABLE USE POLICY
You agree not to use ProQyz Services for any unlawful or abusive activities including but not limited to:
- Promoting illegal activities
- Distributing malware
- Violating intellectual property rights
- Harassment or discrimination
- Fraudulent educational practices
ProQyz reserves the right to suspend or terminate accounts violating these policies.
9. USER CONTENT AND DATA
You retain ownership of any content you upload, including:
- Courses
- Tests
- Student data
- Media files
However, you grant ProQyz a limited license to process such data solely for the purpose of providing the Services.
ProQyz may collect anonymized usage data to:
- Improve software performance
- Develop new features
- Analyze platform usage trends
We will not sell personally identifiable data without consent.
10. DATA SECURITY AND PRIVACY
Your use of ProQyz is subject to our Privacy Policy.
You are responsible for:
- Securing your WordPress website
- Managing user data responsibly
- Complying with applicable privacy laws
ProQyz is not liable for data breaches caused by:
- insecure hosting
- compromised WordPress installations
- vulnerable third-party plugins.
11. WARRANTIES AND DISCLAIMERS
The Services are provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by law, ProQyz disclaims all warranties including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Continuous availability
We do not guarantee that:
- the software will be error-free
- services will operate without interruption
- third-party integrations will always function.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, ProQyz shall not be liable for:
- indirect damages
- lost profits
- lost business opportunities
- data loss
- service interruptions
In any event, ProQyz’s total liability shall not exceed the amount paid for the Services within the previous six (6) months.
13. TERM AND TERMINATION
Your license remains valid during the active subscription period.
We may suspend or terminate your access if:
- you violate this Agreement
- you fail to pay required fees
- your use threatens platform security
Upon termination:
- your license rights end immediately
- access to updates and support is revoked.
14. SUSPENSION OF SERVICES
ProQyz may temporarily suspend services if:
- the system detects abuse
- security risks are identified
- payment issues occur
- legal obligations require suspension
We will attempt to notify you before suspension when reasonably possible.
15. DISPUTE RESOLUTION
Any disputes arising from this Agreement shall be resolved through binding arbitration or mediation where applicable.
If arbitration is not enforceable, disputes shall be resolved in the courts of Punjab, India, and the laws of India shall govern this Agreement.
16. MODIFICATIONS TO TERMS
We may update these Terms from time to time.
Changes will be communicated through:
- website updates
- email notifications
- product announcements
Your continued use of the Services after updates constitutes acceptance of the revised Terms.
17. FORCE MAJEURE
ProQyz shall not be liable for failure or delay in performance caused by events beyond reasonable control, including:
- natural disasters
- internet outages
- cyber attacks
- governmental restrictions
- infrastructure failures
18. GENERAL PROVISIONS
This Agreement constitutes the entire agreement between you and ProQyz regarding the Services.
If any provision is found unenforceable, the remaining provisions will remain in effect.
You may not transfer your rights under this Agreement without prior written consent from ProQyz.
